BusinessKaki is a booking, payments, customer management, and WhatsApp messaging platform for Singapore service businesses, operated by Simply Yours LLP (UEN T24LL0355L), a limited liability partnership registered in Singapore ("BusinessKaki", "we", "us", "our").
These terms are an agreement between us and the business that registers an account ("you", "your business"). By creating an account or using the service, you accept these terms. If you use BusinessKaki on behalf of a company or partnership, you confirm you are authorised to bind it.
BusinessKaki provides online appointment booking, a business calendar, customer records, staff management, payment collection tools, analytics, and automated WhatsApp messaging (together, the "Service"). Features vary by subscription plan and are described on our pricing page.
The Service is currently offered in early access. We may add, change, or remove features as the product evolves. Where a change materially reduces functionality you pay for, we will give you reasonable advance notice.
You must provide accurate business information when registering and keep your login credentials secure. You are responsible for activity under your account and for the actions of staff members you invite.

Paid plans are billed in Singapore dollars (SGD) on a recurring subscription basis. The free trial requires no payment details and converts to a paid plan only when you choose to subscribe. Your BusinessKaki software subscription fee is a fixed fee for platform access.
If your business connects its own WhatsApp Business Account directly to BusinessKaki (via Meta's Embedded Signup), WhatsApp message charges are set by Meta and billed by Meta directly to your account. BusinessKaki does not resell, mark up, or add any charge of its own to these messages — ever. When Meta changes its message pricing, those changes apply to you directly and are outside your BusinessKaki software fee.
If your business instead uses BusinessKaki's managed WhatsApp connection, your messages route through our authorised third-party messaging infrastructure providers, and the following applies to your prepaid messaging bundle:
Card payments are processed by Stripe and are subject to Stripe's processing fees, which are deducted from each transaction. PayNow payments go directly to your account and carry no processing fee from us.
WhatsApp features depend on the WhatsApp Business Platform operated by Meta. By using these features you also agree to comply with the applicable WhatsApp Business terms and messaging policies. We are not responsible for outages, policy changes, message pricing changes, or account restrictions imposed by Meta, though we will do our reasonable best to help you resolve them.
Your business data and your customers' records belong to you. We process customer personal data on your behalf as a data intermediary under Singapore's Personal Data Protection Act 2012 (PDPA), as described in our Privacy Policy.
You warrant that every customer record you add to the Service — whether entered directly, collected through your booking page, or imported from another system — was collected by you lawfully and directly from that customer, and that you are entitled under the PDPA to disclose it to us and to instruct us to process it on your behalf as your data intermediary. BusinessKaki does not own, and does not acquire any ownership interest in, your customers' personal data by processing it — you remain the data controller responsible for that data at all times.
You remain the organisation responsible under the PDPA for the customer data you collect: you must have a valid basis (such as consent) to message your customers, honour opt-outs, and respond to access, correction, and deletion requests. The Service provides tools to help you do this. If you close your account, you may export your data beforehand; we then delete or anonymise it as described in the Privacy Policy.
If we discover a data breach affecting your customers' personal data that we process on your behalf, we will notify you without undue delay so that you can meet your own obligations under the PDPA.
If you operate more than one outlet, you are responsible for correctly identifying — when prompted — whether an outlet is part of the same company (UEN) as your other outlets. Outlets you designate as the same company may, at your option, share customer records and prepaid package credit with each other; outlets you designate as separate companies never share any customer data. You warrant that this designation is accurate, and you will correct it and inform us if your corporate structure changes.
We aim for high availability but the Service is provided "as is" during early access, without an uptime guarantee. We perform maintenance with as little disruption as practicable. Support is provided by email at [email protected], with priority response on the Growth plan.
To the maximum extent permitted under Singapore law (including the Unfair Contract Terms Act): we are not liable for any indirect, incidental, special, or consequential losses — including lost business, lost profits, lost customer data, or reputational damage — arising out of system outages or messaging delivery failures. Our total aggregate liability arising out of or in connection with the Service is limited to the greater of (a) the subscription fees you paid us in the 3 months immediately before the event giving rise to the claim, or (b) SGD 200.
Nothing in these terms excludes or limits liability that cannot be lawfully excluded under Singapore law, including for death or personal injury caused by negligence, or for fraud.
We may suspend or terminate an account that materially breaches these terms (including the acceptable-use rules in section 3), with notice where practicable. You may stop using the Service and close your account at any time.
We may also close an account with no active paid subscription that has been inactive for more than 12 months, after giving reasonable notice to the email on file and an opportunity to keep it active.
BusinessKaki — including its software, design, look and feel, branding, and all intellectual property in the Service — belongs to us or our licensors. We grant your business a limited, non-exclusive, non-transferable right to use the Service for your own business operations while your account is in good standing, including during a free trial. You may not copy, modify, resell, white-label, or reverse-engineer the Service, except to the extent the law expressly allows.
Your data stays yours. You keep all rights to your business information and your customers' records. You grant us the limited permission we need to host, store, process, and transmit that data in order to run and support the Service for you, and to generate aggregated, anonymised statistics — which do not identify you or your customers — to monitor, secure, and improve the Service. We do not sell your data or your customers' data.
You agree to indemnify and hold BusinessKaki harmless against third-party claims, fines, penalties, and losses (including reasonable legal costs) arising from your breach of these terms or of applicable law, or from the content and recipients you choose — for example sending spam or unsolicited marketing, breaching Singapore's Do Not Call or Spam Control rules, breaching Meta's WhatsApp Business policies, or breaching the PDPA in respect of your customers' data. This reflects that you, not us, decide who to message and control your customers' personal data. This indemnity does not apply to the extent a claim arises from our own breach of these terms or our negligence.
We are not liable for any failure or delay caused by events outside our reasonable control. These include, without limitation, interruptions or failures of third-party AI service providers (including Google Gemini and Anthropic Claude), disruptions to the WhatsApp Business Platform or other Meta services, internet, hosting, or power outages, changes in law, and natural disasters or other acts of God. This does not excuse your obligation to pay fees already due. If an event like this continues for a prolonged period, either of us may terminate the affected part of the Service on reasonable notice.
We may assign or transfer these terms, in whole or in part, to a subsidiary, affiliate, or successor — for example if Simply Yours LLP incorporates as a private limited company, or in connection with a merger, acquisition, or sale of the business — without needing your consent. Where such a transfer involves personal data, we will handle it in compliance with the PDPA. You may not assign or transfer your account or these terms without our written permission.
We may update these terms as the Service evolves. Material changes will be notified through the dashboard or by email at least 14 days before they take effect. Continuing to use the Service after that date means you accept the updated terms.
These terms are governed by the laws of Singapore, and the courts of Singapore have exclusive jurisdiction over any dispute arising from them, subject to any mandatory mediation or small-claims procedures that apply.
